  (Membership & Service Agreement)

  1. Parties and Acceptance

  This Membership & Service Agreement (“Agreement”) is entered into electronically between UZB GMBH and the user purchasing chiptuning file services.

  By registering on the website and/or purchasing any service, the Customer confirms that:

  • They have read and understood this Agreement in its entirety;

  • They were informed of all rules and conditions prior to purchasing the service;

  • They voluntarily and expressly accept all terms stated herein.

  2. Nature of the Service

  The Company provides customized ECU/TCU software modification services based on the file and vehicle information supplied by the Customer.

  All services:

  • Are custom-made and vehicle-specific;

  • Are not pre-made or mass-produced products;

  • Are delivered as digital content.

  3. No Refund Policy (Strictly Non-Refundable)

  All services provided are:

  • Custom-produced digital goods;

  • Non-resalable;

  • Individually tailored for each vehicle.

  Therefore:

  • All payments are final.

  • No refunds will be issued under any circumstances.

  • Orders cannot be canceled once placed.

  • Dissatisfaction, unmet expectations, or different performance results do not constitute grounds for a refund.

  The Customer acknowledges and agrees that they are aware of and accept the strict no-refund policy before purchasing any service.

  4. No Performance or Measurement Guarantee

  The Company does not guarantee:

  • Any specific horsepower (HP) increase;

  • Any specific torque (Nm) increase;

  • Any 0–100 km/h or 0–60 mph acceleration time;

  • Any dyno test result;

  • Any fuel consumption improvement.

  Performance results may vary depending on vehicle condition, maintenance history, hardware modifications, fuel quality, software version, environmental conditions, and installation method.

  No measurable or specific performance outcome is promised or guaranteed.

  5. Customer Assumes All Responsibility

  The Customer understands and agrees that:

  • Software modifications may involve mechanical and technical risks;

  • Existing or hidden mechanical issues may affect results;

  • Incorrect installation may cause damage.

  The Company shall not be held liable for:

  • Engine, turbocharger, transmission, or drivetrain damage;

  • Vehicle warranty voidance;

  • Software overwrites caused by dealership updates;

  • Improper installation or flashing procedures;

  • Hardware limitations or failures.

  By purchasing the service, the Customer expressly accepts that all technical, mechanical, legal, and financial responsibility lies solely with the Customer.

  6. OFF-ROAD AND RACE TRACK USE ONLY

  All software provided by the Company is intended strictly for off-road and race track use only.

  • Use on public roads is strictly prohibited.

  • The Customer is solely responsible for ensuring compliance with all local, state, and national laws.

  • The Company does not assume responsibility for illegal on-road use.

  The Customer acknowledges that they are aware the software is not intended for use on public highways or public traffic areas.

  7. Legal Compliance

  It is the sole responsibility of the Customer to ensure that the modified vehicle complies with local laws, emissions regulations, and road safety regulations in their jurisdiction.

  The Company assumes no liability for regulatory violations or legal consequences.

  8. Delivery Time

  Any delivery time provided is an estimate only.

  • No guaranteed turnaround time is given.

  • Delays do not entitle the Customer to refunds or compensation.

  9. Limitation of Liability

  The Company’s total liability, under any circumstance, shall be limited strictly to the amount paid for the service.

  The Company shall not be liable for indirect, incidental, consequential, or commercial damages, including but not limited to loss of income, business interruption, or vehicle downtime.

  10. Explicit Acknowledgment

  By purchasing any service, the Customer confirms that they:

  • Understand there is no refund policy;

  • Understand there is no performance guarantee;

  • Understand there is no delivery time guarantee;

  • Accept that the software is for off-road and race track use only;

  • Accept full responsibility for all outcomes.

  Purchase of any service constitutes full and binding acceptance of this Agreement.

1. Collection of General Information When Visiting Our Website

Nature and Purpose of Processing:

2. Use of Our File Portal

Nature and Purpose of Processing:
To provide software calibration services, users can upload files (Control Unit Files) to our portal. These files are processed solely to perform the booked calibration service.
Uploading these files is voluntary, but necessary to use the service.

Legal Basis:
The processing is carried out in accordance with Art. 6 (1) lit. b GDPR for the performance of the contract.

Data Storage:
Uploaded files will be stored for the duration of the service and retained for a maximum of 6 months. After this period, the files will be automatically deleted from the system.

Recipients of the Data:
The data is not shared with third parties, except for processors (hosting providers and, where necessary, external service providers for the service).

Server Location:
Data is stored on servers at STRATO AG (Otto-Ostrowski-Straße 7, 10249 Berlin, Germany). STRATO is acting as a processor in accordance with Art. 28 GDPR.

Service Provider Location:
The service for managing the portal is provided by a company located in the United Kingdom. This means that there may be international data transfers for service management and processing.

Data Transfer Outside the EU:
As the service provider is located in the United Kingdom, data may be transferred to a third country (the UK). We ensure that this data transfer is conducted in compliance with the EU GDPR, and appropriate safeguards are in place, such as standard contractual clauses (SCC) or other mechanisms to ensure the protection of your data.

3. Collection of Address Information for Invoicing

Nature of Processing:
For invoicing purposes related to our software calibration services, we collect the following personal data:

Address (Street, Postal Code, City, Country)

E-mail address

Phone number (optional)

Payment information

These details are necessary to properly execute the contract and issue the legally required invoices.

Legal Basis:
The processing of this data is carried out in accordance with Art. 6 (1) lit. b GDPR (contract performance) and Art. 6 (1) lit. c GDPR (fulfilling legal obligations, such as issuing invoices).

Data Storage:
The address and invoicing data will be stored for a minimum of 10 years to comply with legal retention obligations. After this period, the data will be deleted unless there are other legal requirements.

Recipients of the Data:
This data is used for invoicing purposes and may be shared with tax advisors or other relevant authorities for tax purposes.

Data Transfer:
Address information is only used for the necessary legal data transmission and is not shared with third parties unless explicit consent is obtained or there is a legal obligation.

4. Payment Processing via PayPal

Nature of Processing:
Payment processing for services purchased on our portal is handled by the payment service provider PayPal (PayPal (Europe) S.à r.l. et Cie, S.C.A., Luxembourg).

The processing is carried out in accordance with Art. 6 (1) lit. b GDPR for the performance of the contract.

Data Transmission to PayPal:
